Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Beily Inc.("Beily," "we," "us") governing your access to and use of the Beily website, apps, and services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use the Service for a business, you confirm you are authorized to bind that business. The information you provide must be accurate and kept current.
2. Accounts and roles
- Every account has a single role chosen at signup: promoter (creates and posts clips for campaigns), creator (funds campaigns as an individual brand), or company (funds campaigns as a registered business). A creator may upgrade in place to a company account, which requires business (KYB) verification; roles do not otherwise change.
- You are responsible for your account and for keeping your credentials secure. Notify us immediately of unauthorized use.
- Usernames can be changed once every 14 days. Handles carry reputation on Beily; do not impersonate others or trade accounts.
- Do not create multiple accounts to evade limits, strikes, or bans.
3. The marketplace: our role and yours
Beily is a two-sided marketplace: funders (creators and companies) publish and fund campaigns; promoters make and post original short-form content for them. Beily provides the platform, view verification, and payment rails, but is not a party to the promotional relationship between funders and promoters, and nothing in these Terms creates an employment, agency, joint-venture, or franchise relationship. Promoters act as independent parties, decide what to create, and use their own social accounts.
4. Campaigns
- Funding. A campaign is funded from the funder's business wallet into secured funds before it goes live. The minimum campaign budget is $500.
- Rules snapshot. The brief, brand rules, rates, and requirements are frozen into the campaign at funding; later edits to defaults do not change a live campaign.
- Styles. A campaign is either "clip our content" (the funder supplies source video) or "original content" (the funder supplies brand assets); the style cannot change after launch.
- Drafts and rounds. Drafts hold no funds and have no clock; launching starts the full intended duration. A finished campaign can be relaunched as a new round; each round settles separately and only clips posted from that round's start are eligible.
- Reserve. Part of each budget is held in reserve and opens at the campaign's halfway point, so promoters who join later can still earn.
- Ending early. A funder may end a live campaign early only before its halfway point, while the reserve is still held. New submissions stop immediately; already-posted clips keep earning for half the remaining time; unspent budget is refunded when that window closes. After the halfway point the budget is committed and the campaign runs to its end.
5. Clips and content rules
- Submit only content you created and have the right to publish, made for the campaign from its source or assets, posted on accounts you control.
- Follow each campaign's written rules. Clips can be flagged for breaking a written rule; flags always carry a written reason and can be appealed (section 8).
- Keep clips live. Each clip must remain publicly live through the 7-day clearing window. Taking your clip down before its earnings clear voids that clip's pending balance.
- One submission per clip per campaign, matched by link and by the platform's video ID; do not resubmit the same content across campaigns where a campaign's rules forbid it.
6. Sponsored-content disclosure
Every clip made for a Beily campaign is advertising and must be disclosed as such: this is the law, not a style choice. You must include a clear advertising disclosure on every campaign clip (the default #ad, or the disclosure tag the campaign sets), use the posting platform's branded-content or paid-partnership tool where one exists, and follow the advertising-disclosure rules that apply to you (in the US, the FTC's Endorsement Guides; in the EU/UK, consumer-protection and influencer-marketing rules). Endorsements must reflect your honest experience and must not be deceptive. Undisclosed or deceptive promotion is a breach of these Terms and of the campaign's rules.
7. Third-party platforms
- Clips are posted to third-party platforms (such as TikTok, Instagram and Facebook (Meta), and YouTube). Your use of those platforms is governed by their own terms, community guidelines, and branded-content policies, and you must comply with them in addition to these Terms.
- When you connect a social account, you authorize Beily to access it through the platform's official APIs to read the public clips you submit and their view metrics. Platforms may change or revoke API access; verification depends on it.
- Beily is independent: not affiliated with, endorsed by, or sponsored by TikTok, Meta, Google/YouTube, or any posting platform. We are not responsible for their decisions, including content removal or account restrictions on their side.
8. Verification, integrity, and appeals
- Beily's integrity engine checks each clip for liveness and own-account ownership before it earns; at launch it also confirms views are real human views, excluding bot, incentivized, and low-retention views before anyone is billed or paid. Raw and verified counts are shown openly.
- Do not inflate views, buy traffic, use bots or view rings, or otherwise manipulate verification: this is fraud and grounds for withheld fraudulent earnings, strikes, and termination.
- Flags require a written reason. Appeals are decided by Beily Trust, not by the funder or promoter alone, and earning pauses while an appeal is open. An upheld breach is a strike (a first minor one is a warning); a severe breach is an instant strike. 3 active strikes suspend the account; strikes expire after 90 days, and a suspension may be appealed.
- Prohibited content (listed in section 11) is never eligible to earn. Every clip passes Beily's automated integrity checks, and Beily Trust reviews anything reported or uncertain; automated content-safety detection arrives at launch.
9. Payments, fees, and wallets
- Pricing. Funders pay only for verified views, at the campaign's CPM, subject to per-clip caps. There are no per-user earning caps.
- Platform fee. Beily charges a flat 10% fee on verified spend; promoters receive earnings net of this fee. It never applies to deposits or to unspent budget.
- Earnings lifecycle. Earnings pend while views verify; when a campaign ends they enter a 7-day clearing window, then clear. Cleared funds are yours to withdraw.
- Withdrawals. The minimum withdrawal is $50. Identity (KYC) verification and payout onboarding are required before cashing out. Rail-specific transaction fees are shown before you confirm and are passed through at cost.
- Wallets. Promoter earnings and business campaign funds are separate balances and never mix.
- Refunds. Unspent secured funds return to the funder's available balance when a campaign ends (including early endings under section 4).
- Taxes. You are responsible for taxes on your earnings or business activity. Where the law requires (for example, US 1099 forms or EU DAC7 reporting), we or our payment processor may collect tax information and report to authorities.
10. Payment processing: Stripe
Payment processing on Beily is provided by Stripe and subject to Stripe's agreements. By receiving payouts you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and you authorize us to share the information needed to open and operate your payment account. Beily is a marketplace, not a bank; balances are not deposits, earn no interest, and are not insured. We may suspend money movement where the processor, the law, or fraud prevention requires it.
11. Prohibited conduct
- Fraud of any kind: fake views or engagement, bots, view rings, self-dealing between your own accounts, or circumventing verification.
- Undisclosed advertising or deceptive endorsements (section 6).
- Infringing others' intellectual property or publishing content you lack rights to.
- Posting prohibited content, or running a campaign that promotes it (the list below).
- Scraping, reverse-engineering, overloading, or attempting to breach the Service.
- Evading enforcement, including new accounts after termination.
Prohibited content, banned platform-wide regardless of a campaign's own rules, and never eligible to earn:
- Child sexual abuse or any sexualization of minors (zero tolerance, reported to authorities)
- Sexual or pornographic content
- Graphic violence, gore, or cruelty, including animal cruelty
- Terrorism, violent extremism, or incitement to violence
- Hate or harassment targeting people for who they are
- Illegal goods or activity (drugs, weapons, trafficking, fraud)
- Promotion of self-harm or suicide
- Deceptive, fraudulent, or scam content
- Any other content that is damaging or harmful to others
Campaigns may not target, defame, harass, deceive, endanger, or be designed to damage any person, group, or business, or promote any prohibited content above. Beily removes such campaigns and may suspend the account.
12. Reporting and moderation
Anyone can report a post or an account in the app; reports take a reason and optional details and go to Beily Trust. Moderation decisions that affect you come with a stated reason, and integrity decisions are appealable as described in section 8. You can also mute or block accounts yourself. We do not generally pre-screen content, but we may remove content or restrict accounts that violate these Terms or the law.
13. Intellectual property and licenses
- Your content stays yours. You retain ownership of everything you create: posts, briefs, and clips.
- License to Beily. You grant Beily a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content as needed to operate the Service, including showing campaigns in the marketplace, verifying clips, and (for promoters who opt in) displaying portfolio clips.
- Funder → promoter. By funding a campaign, the funder grants participating promoters a non-exclusive license to use the supplied source material and brand assets to create and post clips for that campaign, consistent with its rules.
- Promoter → funder. The funder may view, share, and embed campaign clips in their original posted form (with attribution intact) for verification, reporting, and record-keeping. Any broader reuse of a promoter's clip is a separate agreement between those parties.
- Beily's property. The Beily name, logo, software, and design are ours; these Terms grant you no rights in them beyond use of the Service.
14. Copyright complaints (DMCA)
If you believe content on Beily infringes your copyright, send a notice with the works concerned, the content's location, your contact details, a good-faith statement, and your signature to trust@beily.io. We will remove or disable access to content as the law requires, notify the poster, and accept counter-notices. Repeat infringers' accounts are terminated.
15. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee earnings, campaign outcomes, uninterrupted availability, or that any particular view will verify; verification depends in part on data from third-party platforms. Nothing on Beily is financial, legal, or tax advice.
16. Limitation of liability
To the fullest extent permitted by law, Beily will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, or data. Our aggregate liability for all claims is limited to the greater of the fees you paid Beily in the 12 months before the claim or USD 100. Some jurisdictions do not allow certain limitations; where the law gives you rights that cannot be limited, including mandatory consumer rights in the EU/UK, those rights are unaffected.
17. Indemnity
If you use the Service for a business, you will indemnify Beily against third-party claims arising from your content, your campaigns, your breach of these Terms, or your violation of law, including advertising-disclosure violations. This section does not apply to consumers where the law does not permit it.
18. Suspension and termination
- You may stop using the Service at any time and request account deletion. Deletion waits for open balances to settle (earnings in the clearing window, running campaigns), and financial records are retained as the law requires; see the Privacy Policy.
- We may suspend or terminate accounts that violate these Terms, create risk for users or the platform, or as required by law, with a stated reason except where the law forbids it.
- On termination, cleared earnings remain withdrawable after settlement unless they are the proceeds of fraud; secured funds for unstarted obligations are refunded.
- Sections that by nature survive (licenses already granted, money records, disclaimers, liability limits, disputes) survive.
19. EU/UK consumer terms
If you use Beily as a consumer in the EU or UK: you have a 14-day right of withdrawal from this contract; by using the Service immediately you request immediate performance and acknowledge that, once a transaction has been fully performed (for example a completed campaign or payout), withdrawal no longer applies to it. Your mandatory statutory rights, including the legal guarantee of conformity for digital services, are unaffected by anything in these Terms. Complaints can always be raised with us first at help@beily.io, and you retain the right to bring claims before the courts or consumer bodies of your country of residence.
20. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in San Francisco, California, except that consumers in the EU/UK keep the protection of the mandatory laws and courts of their country of residence. (Governing-law and dispute-resolution terms are draft placeholders pending legal review.)
21. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be notified through the Service or by email before they take effect, and the "Last updated" date above will change. If you do not agree to a change, stop using the Service before it takes effect; continued use constitutes acceptance.
